Palindrome Website Terms of Use

These Website Terms of Use ("Terms") are a binding agreement between you and Palindrome Labs, Inc. ("Palindrome," "we," "us," or "our") governing your access to and use of palindromelabs.ai, its public subdomains, and public content and documentation that we make available through them (the "Site").

These Terms do not govern the authenticated Palindrome platform or services that Palindrome provides under a Master Services Agreement, Order Form, evaluation agreement, or other written service agreement (the "Customer Agreement"). The Customer Agreement governs those services. If these Terms conflict with a Customer Agreement, the Customer Agreement controls.

By accessing or using the Site, you agree to these Terms. If you use the Site for an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for business use and not for personal, family, or household purposes.

2. Site License and Ownership

2.1 Limited license. Subject to these Terms, Palindrome grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Site for lawful business evaluation and informational purposes.

2.2 Palindrome materials. Palindrome and its licensors own the Site and its software, designs, text, graphics, names, logos, documentation, and other materials. These Terms grant no ownership rights.

2.3 Permitted copies. You may download or print public documentation for your internal business evaluation if you retain all copyright and proprietary notices.

2.4 Feedback. If you give Palindrome feedback or suggestions, you grant Palindrome a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation.

3. Acceptable Use

You will not:

copy, modify, translate, or create derivative works of the Site except as Section 2.3 permits;
reverse engineer, decompile, or attempt to derive source code from the Site, except where law prohibits this restriction;
use the Site to build a competing product or benchmark Palindrome for a competitor;
bypass or disable a security, rate-limiting, or access-control feature;
use scraping, crawlers, bots, or automated means except through a documented public interface and within stated limits;
upload malware or use the Site to violate law or a third-party right;
impersonate another person or misrepresent an affiliation; or
interfere with the integrity, security, or operation of the Site.

4. Product Information and Evaluations

4.1 Product information. Site content describes Palindrome products and plans at a general level. Palindrome may change products, features, pricing, and availability. An executed Customer Agreement states the binding service scope and commercial terms.

4.2 No professional advice. Site content does not provide legal, financial, security, compliance, or other professional advice. You are responsible for obtaining advice suited to your circumstances.

4.3 Demonstrations. Sample data, demonstrations, prototypes, and previews may differ from production Services. Palindrome does not commit to deliver a previewed feature unless a Customer Agreement states that commitment. Any estimate, benchmark, calculation, or demonstration output on the Site is illustrative, may be inaccurate or incomplete, and should not be the sole basis for a material financial or operational decision.

5. Privacy and Cookies

Our Privacy Policy describes how Palindrome handles Personal Information for its own business purposes. Our Cookie Policy describes cookies and similar technologies. These policies are notices and do not form part of these Terms.

Palindrome processes Customer Data submitted to authenticated Services under the applicable Customer Agreement and Data Processing and Security Addendum, not under these Terms or the Privacy Policy.

6. Third-Party Sites

The Site may link to a third-party site or service. Palindrome does not control or endorse third-party sites and is not responsible for their content, security, availability, or practices. The third party's terms and privacy policy govern your use of its site or service.

7. Site Availability and Changes

Palindrome may modify, suspend, or discontinue all or part of the Site. Palindrome has no obligation to provide support, maintenance, or continued access to public Site content.

8. Disclaimer

TO THE MAXIMUM EXTENT LAW PERMITS, PALINDROME PROVIDES THE SITE AND ITS CONTENT "AS IS" AND "AS AVAILABLE." PALINDROME DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PALINDROME DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT LAW PERMITS, PALINDROME AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS.

PALINDROME'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED USD $100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT LAW DOES NOT PERMIT PALINDROME TO LIMIT.

10. Suspension and Termination

Palindrome may suspend or terminate your access to the Site if you violate these Terms or if Palindrome reasonably believes suspension is needed to prevent harm, a security risk, or a legal violation. You may stop using the Site at any time. Sections 2.2, 2.4, 4, 5, 6, 8, 9, 10, and 12 survive termination.

11. Changes to These Terms

Palindrome may update these Terms. Palindrome will post material changes with a new "Last updated" date and provide additional notice where law requires it. Changes take effect on the date stated in the updated Terms. By continuing to use the Site after that date, you agree to the updated Terms.

12. General

12.1 Governing law and venue. California law governs these Terms without regard to conflict-of-law rules. You and Palindrome consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California, and waive objections to venue.

12.2 Assignment. You may not assign these Terms without Palindrome's prior written consent. Palindrome may assign them in connection with a merger, acquisition, reorganization, or sale of all or substantially all assets relating to the Site.

12.3 Severability and waiver. If a court finds a provision unenforceable, it will modify that provision to the minimum extent needed and enforce the remaining provisions. A failure to enforce a provision is not a waiver.

12.4 Entire agreement. These Terms are the entire agreement between you and Palindrome concerning the Site. They do not replace or amend a Customer Agreement.

12.5 No third-party beneficiaries. These Terms create no third-party beneficiary rights.
